These Terms of Use (“Terms”) govern access to and use of the website, mobile applications, and related services operated by KeoApp Inc., a Maryland corporation (“KeoApp,” “we,” “us,” or “our”), including tools that let coaches discover youth sports teams and coordinate scrimmage games (collectively, the “Service”). By creating an account, browsing team listings, posting a scrimmage request, or otherwise using the Service, you (“Coach,” “User,” or “you”) agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Service.
You must be at least 18 years old and authorized to act on behalf of the youth sports team, club, school, or organization you represent to use the Service. The Service is intended for use by coaches, team administrators, and similar authorized adult representatives — not by the youth athletes themselves. By using the Service you represent and warrant that you meet these requirements and that all registration information you provide is accurate and current. KeoApp may refuse registration, and may suspend or terminate any account, in its sole discretion.
KeoApp is a free platform that allows coaches to search for youth sports teams by region, age range, and competitive level; post requests for scrimmage games to a public board visible to other Users or to specific teams selected by the posting coach; and respond to scrimmage invitations by accepting them or proposing an alternate date, time, or location. KeoApp is a scheduling and discovery tool only. KeoApp does not organize, host, staff, referee, insure, or supervise any scrimmage game, practice, or related event, and is not a party to any agreement formed between coaches or teams as a result of using the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify KeoApp promptly of any unauthorized use of your account. You may not share your account with, or create an account on behalf of, anyone who is not authorized to represent the team or organization identified in your profile.
KeoApp relies entirely on information self-reported by coaches and does not independently verify any listing. You represent and warrant that all information you post or submit through the Service — including team age group, division, competitive or skill level, gender composition, roster eligibility, location, and contact details — is true, accurate, and not misleading. You agree not to misrepresent your team's age range, skill or competitive level, or any other material fact in a manner intended to induce another team to accept a scrimmage it would not otherwise have accepted.
You are solely responsible for any dispute, injury, forfeiture, mismatch, or other consequence resulting from inaccurate, false, or misleading information you or your team post. KeoApp may, in its discretion, remove any listing and suspend or terminate any account it believes in good faith contains false or misleading information, and disclaims all liability arising from a User's reliance on another User's self-reported listing.
Coaches may post a scrimmage request to the public board (visible to all Users who meet the specified region, age, and competitive-level criteria) or send it directly to one or more selected teams. A team receiving a request may accept it as posted, decline it, or propose a different date, time, or location. A scrimmage is confirmed only when both coaches accept the same terms through the Service. Once confirmed, the arrangement is a direct agreement solely between the participating coaches/teams; KeoApp is not a party to, and assumes no obligation to enforce, monitor, or mediate, that agreement.
Coaches are solely responsible for confirming and coordinating all logistical details directly with one another, including venue access, field conditions, facility rules, referees or officials, insurance, medical staffing, and any cancellation or weather policies. KeoApp is not responsible if a confirmed scrimmage is cancelled, altered, or not honored by a coach or team.
Where a host team charges a fee to a visiting team to help cover facility rental, referee or official fees, or similar costs, KeoApp may, as a convenience, facilitate the collection and transfer of that payment through a third-party payment processor. In such cases KeoApp may charge a processing fee for this service, deducted from the payment before it is forwarded to the host team, with the applicable rate disclosed to both teams before the payment is authorized.
Aside from the disclosed KeoApp processing fee, all amounts for facility rental, referees, officials, travel, equipment, or any other cost of a scrimmage are agreed to solely between the participating teams, and KeoApp is not a party to that arrangement. KeoApp is not responsible for a host team's failure to provide a suitable facility, qualified referees, or any other service it agreed to provide, and is not responsible for issuing refunds in connection with such a failure; any such dispute is solely between the participating teams. Use of the payment feature is also subject to the applicable third-party payment processor's terms of service, which you agree to separately.
By registering for the Service, you consent to receive email, SMS, and push communications from KeoApp, including newsletters, platform updates, scrimmage-related notifications, and promotional or marketing content, and you agree that KeoApp may add your contact information to its mailing list for these purposes. You may opt out of marketing communications at any time using the unsubscribe link provided or by contacting KeoApp, though you may continue to receive transactional or account-related messages necessary to operate the Service.
KeoApp may display targeted advertising, including from third-party advertisers, to you based on information associated with your account or activity, such as the sport you coach, the age range and gender of your team, your team's competitive or skill level, your region, and your usage of the Service. Additional detail regarding data collection and use for advertising purposes is available in our Privacy Policy.
Youth sports scrimmages and related travel involve inherent risks, including but not limited to physical injury, serious injury, permanent disability, or death; property damage or loss; and risks associated with travel to and from venues. You acknowledge these risks on behalf of yourself, your team, its players, and its players' parents or guardians, and you agree that participation in any scrimmage arranged through the Service is voluntary and undertaken with full knowledge and acceptance of these risks. You are solely responsible for informing players, parents, and guardians of these risks and for obtaining any waivers, consents, medical clearances, or insurance coverage appropriate for participation, independent of KeoApp and prior to any scrimmage arranged through the Service.
To the fullest extent permitted by law, KeoApp and its officers, directors, employees, contractors, and agents are not responsible or liable for any injury, illness, death, property damage, or other loss or harm arising from or related to: (a) any scrimmage game or related event arranged, scheduled, or facilitated through the Service; (b) travel to or from any such event; (c) the condition, safety, or suitability of any facility, field, or venue; (d) the conduct of any coach, player, parent, guardian, referee, spectator, or other third party; or (e) any information posted by a User. You hereby release and forever discharge KeoApp from any and all claims, known or unknown, arising from or related to the foregoing, to the maximum extent permitted by applicable law.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KEOAPP DOES NOT WARRANT THAT LISTINGS ARE ACCURATE, THAT A SUITABLE OPPONENT WILL BE AVAILABLE, OR THAT ANY SCRIMMAGE ARRANGED THROUGH THE SERVICE WILL OCCUR AS SCHEDULED OR WITHOUT INCIDENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEOAPP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF KEOAPP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KEOAPP'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100), OR (B) THE TOTAL PROCESSING FEES YOU PAID TO KEOAPP IN THE TWELVE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend, and hold harmless KeoApp and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your breach of these Terms; (c) any false, inaccurate, or misleading information you post; (d) any scrimmage game or related event you organize, host, or participate in that is arranged through the Service; or (e) your violation of any law or the rights of a third party.
The Service, including its software, design, text, graphics, and logos, is owned by KeoApp or its licensors and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, KeoApp grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for the purpose of coordinating scrimmage games. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Service without KeoApp's prior written consent.
You retain ownership of the content you submit to the Service, such as team listings, scrimmage requests, and messages (“User Content”). You grant KeoApp a worldwide, royalty-free, non-exclusive, sublicensable license to host, use, reproduce, display, and distribute your User Content solely to operate, provide, promote, and improve the Service. You are solely responsible for your User Content and represent that you have all rights necessary to grant this license.
KeoApp's collection, use, and disclosure of personal information, including information used for the mailing list and targeted advertising described in Section 7, is governed by our Privacy Policy, which is incorporated into these Terms by reference.
These Terms remain in effect while you use the Service. KeoApp may suspend or terminate your access to the Service, or remove any listing, at its sole discretion, with or without notice, including for suspected violation of these Terms, submission of false information, or misuse of the Service. You may stop using the Service, or request deletion of your account, at any time. Sections that by their nature should survive termination — including Sections 4 and 8 through 19 — will survive.
Most concerns can be resolved informally. Before filing a claim, you agree to contact KeoApp and attempt in good faith to resolve the dispute for at least 30 days. If the dispute is not resolved informally, you and KeoApp agree that it will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small claims court where eligible.
YOU AND KEOAPP EACH AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION, and no arbitrator has authority to consolidate claims of more than one User.
You may opt out of this arbitration agreement by sending written notice to KeoApp within 30 days of first accepting these Terms; opting out will not affect any other provision of these Terms.
These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles. For any dispute not subject to arbitration under Section 17, you agree to the exclusive jurisdiction and venue of the state and federal courts located in Maryland.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and KeoApp regarding the Service and supersede any prior agreements.
Modifications to These Terms. KeoApp may revise these Terms from time to time by posting an updated version on the website with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Assignment. KeoApp may assign these Terms without restriction. You may not assign these Terms without KeoApp's prior written consent.
Force Majeure. KeoApp is not liable for any failure or delay in performance resulting from causes beyond its reasonable control.
No Waiver. KeoApp's failure to enforce any provision of these Terms is not a waiver of its right to do so later.
Electronic Communications. You consent to receive communications from KeoApp electronically, and agree that such communications satisfy any legal requirement that they be in writing.
Headings. Section headings are for convenience only and do not affect interpretation of these Terms.
